Key Responsibilities

  • •Build Harbor’s inaugural M&A/corporate development function, including infrastructure, playbooks, and processes.
  • •Drive proprietary sourcing to establish and maintain an aggressive off-market deal pipeline through outreach and networking.
  • •Independently manage end-to-end deal execution (NDA/LOI negotiation through diligence, data room management, closing conditions, and coordination with legal counsel).
  • •Conduct advanced underwriting using bespoke financial models to evaluate normalized EBITDA and recurring-revenue quality and SaaS metrics.
  • •Direct parallel workstreams across multiple live deals to achieve a target cadence of 3–5 closed deals per year and deliver board-level reporting plus integration handoff frameworks.

Key Requirements

  • •6–10 years of relevant experience, including investment banking and at least 2 years in PE investing or a corporate development operator role.
  • •Proven ability underwriting and closing transactions in the $5M–$100M TEV lower middle market range.
  • •Hands-on experience working within or for a high-velocity roll-up platform, with strong deal-cadence and integration pacing.
  • •Demonstrated proprietary sourcing capabilities using direct founder outreach, banker relationships, and industry networking.
  • •Advanced financial modeling skills for recurring-revenue and SaaS metrics, including normalized EBITDA and ARR/GRR/NRR/cohort churn evaluation.
