Key Responsibilities

  • •Draft and negotiate preliminary agreements and transaction documents (e.g., MoU, Letter of Intent, Share Purchase Agreement, joint-venture agreements).
  • •Manage and perform legal due diligence and handle post-closing matters.
  • •Coordinate with legal department stakeholders, especially antitrust and compliance teams.
  • •Monitor compliance with relevant laws and regulations, notably Foreign Direct Investment perspective.
  • •Select and manage external law firms and advise senior management to enable decision-making.

Key Requirements

  • •EU, US or UK qualification prerequisite with specialization on Business Law and/or Corporate Law.

  • •Ability to provide top-level business-oriented guidance to senior management in a concise and precise manner.
  • •Negotiation level in English is mandatory; French, German or Spanish would be an asset.
