Job Summary

Senior in-house legal professional supporting subsidiary governance, corporate secretary duties, board advisory, and governance matters for wholly-owned Saudi subsidiaries within Aramco’s Corporate Secretariat. Collaborates with global legal teams, advises senior management and boards, manages board meetings, proxies and delegation instruments, and oversees entity data management in an extensive corporate group.

Key Responsibilities

•Serving as the corporate secretary for one or more wholly-owned, in-Kingdom subsidiaries.
•Advising boards of directors and related committees, as well as senior management.
•Organizing and managing board meetings, and advising as to board authority and corporate governance matters.
•Preparing proxies, powers of attorney, and other governance-related delegations.
•Stewarding the appointment of board directors, shareholder representatives and other roles.
•Onboard training and best practices for new directors.
•Advising as to shareholder issues and managing the interface between the Related Entity, the parent, and other affiliates.
•Overseeing, utilizing and updating the data set in an entity management system.
•Liaising with other attorneys and legal professionals around the globe who provide legal and commercial support for various entities within the Saudi Aramco group.

Key Requirements

•Bachelor of Laws and/or Master of Law. Juris Doctorate degree or equivalent preferred.
•Current admission to general practice before the highest court of the state or country of which you are a citizen or resident.
•7+ years of experience with a strong law firm, large corporation, or other sophisticated business organization.
•General corporate experience providing legal advice and support to senior management and/or a board of directors.
•Attention to detail, excellent teamwork, negotiation and communication skills.
•Experience leading, teaching, and mentoring.
•Energy industry (oil and gas, petrochemical, power or oil field services), public company and international experience are a plus.
•Special focus will be given to candidates with experience serving as a corporate secretary.
