Job Summary

The Senior Legal Counsel will review, draft, and negotiate a range of complex commercial contracts to support AVEVA’s Canadian business, including software licenses, SaaS and cloud offerings, consulting, and subcontracting. As a trusted advisor, they will balance legal risk with business objectives, ensure compliance with laws and company policies, collaborate with Sales, Finance, and regional teams, and maintain legal systems and records.

Key Responsibilities

•Provide pragmatic legal and commercial advice, generally, within Canada by summarizing and communicating legal concepts to management and employees in the field.
•Maintain current knowledge of, and support compliance with, applicable laws and regulations.
•Draft, review and negotiate commercial contracts, including those dealing with software licenses, SaaS and other cloud offerings, software consulting and service delivery, strategic teaming, prime and subcontractor agreements, as well as RFQ and RFP support and a range of NDAs, all within an agreed approval matrix and legal policy framework.
•Assist in reviewing and revising current processes, structures and procedures for efficiency and support projects and initiatives to realign and streamline same.
•Assist in developing, maintaining and updating legal systems and records.

Key Requirements

•Possess a law degree and be a member in good standing of at least one provincial bar association.
•At least 5 years work experience as an in-house or transactional attorney with progressive, relevant experience in commercial software transaction agreements.
•Ability to quickly identify and analyze problems to form an opinion and offer practical advice to the business.
•Pays strong attention to detail and possesses commitment to excellent client service.
•Possess high-level legal drafting and negotiation skills and excellent written and verbal communication skills in English.
