Key Responsibilities

  • •Build public-company governance and disclosure infrastructure, including disclosure controls and procedures, committees, reporting calendars, insider trading/trading-window policies, Section 16/Reg FD frameworks, and a 10b5-1 program.
  • •Support IPO execution by helping run the working group, coordinating registration statement drafting and diligence with underwriters and auditors, and managing quiet-period discipline and exchange listing process.
  • •Lead legal execution on equity and debt financings, including warehouse/credit facilities, convertible instruments, secondary transactions, tender offers, and accompanying diligence.
  • •Lead legal execution for acquisitions, investments, and strategic transactions—structuring, diligence, drafting and negotiating LOIs and purchase agreements, and supporting post-closing integration.
  • •Handle corporate governance and equity compensation, including board and committee mechanics, related-party review, entity governance across subsidiaries, and partnering on option/RSU grants and 409A/Rule 701 compliance.

Pay and Benefits

Salary: USD 265,000 - 310,000 annually

Key Requirements

  • •Active membership in good standing in a U.S. state bar (admitted in California or eligible to register as in-house counsel there).
  • •8–15 years of post-J.D. experience with substantial securities and capital markets work at a leading law firm.
  • •Fluency in the Securities Act and Exchange Act frameworks governing private financings and public reporting, with sound judgment.
  • •Public company experience, including hands-on involvement with SEC reporting and disclosure (e.g., Forms 10-K/10-Q/8-K and proxy materials) and familiarity with disclosure controls and governance requirements.
  • •Demonstrated ability to see complex processes through to closing and clearly explain legal requirements and risk to non-lawyers.
