Job Summary

Serve as a trusted legal advisor and partner to Perforce’s business, handling commercial contracting, product counseling, privacy and regulatory compliance, IP strategy, and corporate governance. You will review, draft, negotiate, and advise across SaaS and on-prem agreements, support cross-border data and AI-related legal considerations, and assist with transactions and M&A workstreams. Report to the General Counsel and collaborate across Finance, HR, Sales, Operations, Product, and the legal team.

Key Responsibilities

•Support commercial contracts by reviewing, drafting, negotiating, and advising on software license, vendor, partner/reseller, and professional services agreements.
•Advise Product and Engineering on privacy, data, regulatory compliance, and legal risks in product development, including data processing agreements and cross-border data transfers.
•Maintain and update compliance and regulatory policies and proactively monitor changes in laws, regulations, and industry standards.
•Support intellectual property protection and enforcement, including trademarks, patents, and copyrights, and coordinate with marketing on IP registration.
•Assist with corporate governance and transactions by drafting board resolutions and governance documents and supporting M&A due diligence and transaction documents.

Salary: USD 99,850 - 150,000 annually

Key Requirements

•J.D. degree from an accredited law school.
•Admitted to practice law in at least one US state.
•3-4 years of progressive experience in legal roles, with in-house experience a plus.
•Understanding of the software and technology industry, including software licensing contract structures.
•Familiarity with privacy, AI, and corporate governance frameworks, plus strong written and oral communication skills.
