Job Summary

Lead commercial contracting for Honeywell’s Process Automation and Industrial Automation businesses in India. Partner with sales and business teams to draft, review, negotiate, interpret, and administer complex customer and partner agreements, while managing contract review processes, risks, and compliance obligations. Oversee dispute resolution and litigation support, deliver contracting training, maintain clause libraries and templates, and ensure timely tracking of approvals, renewals, and expirations.

Key Responsibilities

•Serve as a senior point of contact for commercial contracting matters in PA and IA (India), partnering with legal and business leadership to deliver timely contract support.
•Draft, review, negotiate, interpret, and administer legal documentation for complex commercial transactions, including customer sale, supply, distribution, licensing, and joint development agreements.
•Manage the regional PA and IA contract review function, mitigate risks in non-standard conditions, and advise internal clients on legal and contractual requirements.
•Analyze and advise on contractual and related legal issues in commercial transactions and project execution (including commercial law, intellectual property, licensing, and risk/opportunity analysis).
•Manage litigation and dispute resolution for the region and support corporate compliance (competition law, anti-bribery regimes including FCPA/Prevention of Corruption Act, and IP protection).

Travel: Medium travel

Key Requirements

•Indian law graduate with an LL.B degree (Company Secretarial qualification such as ACS/FCS is an added advantage).
•At least 10 to 12+ years of relevant experience in contract drafting, negotiation, and management with a major law firm and/or corporation.
•Strong multinational commercial transactional experience across a range of commercial agreements (oil and gas or industrial automation experience is an added advantage).
•Proven experience acting as a business partner—advising on legal matters with understanding of business objectives.
•Excellent communication and negotiation skills, able to work with internal and external stakeholders under tight timelines (including extended hours when required).
