Job Summary

Own the vision, strategy, and execution of the corporate and compliance legal function, reporting to the Chief Legal Officer. Lead governance, securities compliance, ethics, equity plan administration, executive compensation, and M&A matters while partnering with the CFO, People leadership, and the E-Group. Build and develop a team of corporate attorneys and paralegals, oversee SEC reporting and disclosure obligations, manage outside counsel, and advance AI-enabled legal workflows in a fully remote, async-first environment.

Key Responsibilities

•Define and execute the long-term strategy for the corporate and compliance legal function, aligning priorities with public company obligations and governance standards.
•Serve as a primary executive partner to the CFO and People leadership on corporate governance, securities matters, equity strategy, executive compensation, and M&A.
•Build, lead, and develop a team of corporate attorneys and paralegals, fostering a high-performance async-first culture.
•Advise on and maintain corporate law templates, policies, and processes, including securities filings, equity plan administration, executive compensation, and M&A transactions.
•Own ongoing SEC reporting and disclosure obligations and manage outside counsel relationships across corporate, securities, and M&A matters.

Key Requirements

•8+ years of combined law firm and in-house legal experience, with substantial tenure leading corporate legal matters at a multinational, publicly traded technology company.
•J.D. (or U.S. law degree equivalent) with bar admission in good standing in at least one U.S. state.
•In-house public company experience with strong working knowledge of the ’33 Act and ’34 Act and experience managing SEC reporting and disclosure obligations.
•Experience advising executives and the board on corporate governance, securities, equity compensation, and M&A matters.
•Demonstrated fluency in applying AI tools to legal workflows, with a track record of driving adoption across a team.
