Job Function: Strategy & Corporate Development

Key Responsibilities

•Structure, draft, and negotiate key transaction documents for acquisitions, divestitures, and strategic investments (e.g., term sheets, LOIs, merger agreements, asset purchase agreements, stock purchase agreements, and investment/shareholder agreements).
•Lead and manage the end-to-end legal due diligence process, coordinating internal specialists, managing virtual data rooms, and summarizing findings for business stakeholders.
•Serve as the primary legal advisor to the Corporate Development team and other business leaders, providing strategic and tactical advice on deal structures, risk-shifting, and negotiation strategy.
•Partner with Finance, Tax, HR, Operations, and Product to ensure all functional aspects of a transaction are addressed and aligned with business objectives.
•Manage and oversee outside counsel on M&A and investment transactions, ensuring high-quality work, cost-effectiveness, and alignment with company goals.
•Support post-closing integration efforts to ensure a smooth transition and realization of deal value, and help develop our M&A playbook with templates and internal processes.

Key Requirements

•Juris Doctor (J.D.) from an accredited law school with an active in at least one state bar membership
•At least 4 years of relevant legal experience focusing on M&A with hands-on drafting and negotiating complex transaction agreements
•Experience at a law firm in its M&A/Corporate practice is strongly preferred; in-house experience at a technology or high-growth company is a plus
•Demonstrated ability to understand business objectives and apply legal principles in a pragmatic, risk-based manner
•Excellent communication skills, ability to manage multiple projects and tight deadlines
