Key Responsibilities

  • •Draft and/or review deal documents across all phases of M&A transactions, including confidentiality agreements, purchase agreements, and ancillary documents.
  • •Advise stakeholders on M&A matters including due diligence, structure analysis, regulatory review, and labor & employment issues.
  • •Collaborate cross-functionally and within Legal to progress deal workstreams on tight timelines with imperfect information.
  • •Identify transaction risks and develop risk-mitigation strategies in partnership with the M&A team and other Legal members.
  • •Coordinate engagement and oversight of outside counsel as necessary, and update/develop M&A templates and tools.

Key Requirements

  • •J.D. degree from an accredited law school with top academic credentials.
  • •7+ years of M&A experience handling multiple transaction types with increasing responsibility.
  • •Prior law firm and/or in-house M&A experience.
  • •Strong management skills and business judgment to advise on business objectives and risks/rewards.
  • •Excellent organizational skills and ability to communicate effectively with non-legal audiences.
