Key Responsibilities

  • •Support SEC and NYSE compliance, drafting, reviewing, and revising Securities Exchange Act documents including Forms 8-K, 10-Q, 10-K, and 14A.
  • •Prepare Section 16 filings (Forms 3, 4, and 5) and support administration of the insider trading policy, including pre-clearance requests and Rule 10b5-1 plan/disclosure obligations review.
  • •Manage corporate governance activities, including board/committee meeting materials and shareholder annual meeting materials and related communications such as D&O questionnaires.
  • •Monitor shareholder engagement and proxy advisor developments (e.g., ISS, Glass Lewis) and research governance trends to support decision-making.
  • •Support administration of equity compensation plans, provide advice on asset-backed securitization and other funding mechanisms, collaborate with Legal & Compliance and business partners, and lead special projects as needed.

Key Requirements

  • •J.D. (law degree).
  • •Member in good standing with the bar of a U.S. jurisdiction.
  • •Minimum 3 years of legal experience at a law firm and/or in-house legal department advising public companies on securities law, corporate governance and/or capital markets matters.
  • •Ability to develop and execute a plan with minimal direction.
  • •Excellent written and verbal communication, analytical reasoning, problem-solving, and strong interpersonal/leadership skills.
