Key Responsibilities

  • •Lead legal execution across acquisitions, disposals, joint ventures, co-investments, minority investments, platform builds, add-ons, restructurings, recapitalizations, refinancings, and exits.
  • •Partner with investment, finance, tax, and technical teams to define legal workplans and align diligence with the investment thesis and underwriting priorities.
  • •Design and evaluate fund, holding-company, SPV, acquisition, financing, and co-investment structures across jurisdictions, balancing governance, enforceability, tax, regulatory, funding, and exit considerations.
  • •Lead legal due diligence and translate value-critical findings into negotiated deal protections including price, conditions, covenants, indemnities, warranties, and other transaction protections.
  • •Protect governance and economic rights through reserved matters, board and information rights, transfer restrictions, minority protections, deadlock mechanisms, and exit provisions.

Key Requirements

  • •6 to 8 years of progressive legal experience with substantial responsibility for private equity, M&A, leveraged finance, fund, infrastructure, or principal-investment transactions.
  • •Strong command of transaction structuring, legal due diligence, and risk allocation across conditions to closing and post-closing obligations.
  • •Experience with fund, holding-company, SPV, and co-investment structures and knowledge of governance rights, reserved matters, minority protections, and realization mechanisms.
  • •Credible exposure to acquisition financing and transaction protections such as security, guarantees, intercreditor arrangements, covenants, amendments, or refinancing.
  • •Ability to lead small teams, manage multiple workstreams, and develop junior professionals in a high-performance environment.
