Key Responsibilities

  • •Prepare, review, and support SEC filings including Forms 10-K, 10-Q, 8-K, proxy statements, and other required submissions.
  • •Coordinate disclosure processes and timelines with Finance, Investor Relations, Treasury, and external counsel.
  • •Advise business leaders on federal securities laws, SEC regulations, and NASDAQ listing requirements.
  • •Support insider trading policy and blackout procedures administration and related compliance processes.
  • •Develop and maintain securities law policies, procedures, and guidance; support governance-related matters and special corporate initiatives.

Key Requirements

  • •Juris Doctor (JD) from an accredited law school.
  • •Minimum 15+ years of relevant securities law experience with a publicly traded company and/or well-regarded law firm.
