Key Responsibilities

  • •Support legal aspects of M&A, joint ventures, minority investments, acquihires, and other strategic transactions.
  • •Prepare, review, and negotiate transaction documents including letters of intent, purchase agreements, and ancillary documents.
  • •Advise on deal structuring and key terms such as risk allocation, purchase price mechanics, rep and warranty insurance, and indemnification.
  • •Manage AMD Ventures investment and portfolio-related matters, including coordination of due diligence with subject-matter experts and third-party advisors.
  • •Advise on regulatory matters (e.g., CFIUS, HSR, and other merger control/FDI filings) and support post-closing legal integration while coordinating stakeholders and external law firms.

Salary: USD 168,210 - 288,360 annually

Key Requirements

  • •Juris Doctor (JD) degree from an accredited law school and active membership in good standing in at least one U.S. state bar.
  • •Demonstrated experience handling sophisticated M&A and minority investments in an in-house legal department, top-tier law firm, or a combination.
  • •Deep understanding of transaction structures including joint ventures, minority investments, and acquihires.
  • •Experience with both domestic and cross-border transactions.
  • •Strong written and oral communication skills, with the ability to translate complex legal concepts for senior leaders and non-legal teams.
