Key Responsibilities

  • •Partner with the Global Sourcing team to draft, review, and negotiate direct material supplier contracts globally, including structuring transactions and ensuring compliance with guidelines.
  • •Manage disputes and claims by drafting notices for late delivery, shortages, nonconformances, serial defects, field failures, and related pass-through costs.
  • •Coordinate with the Contract Management team on contract lifecycle processes, approvals, and documentation standards to minimize gaps between customer and supplier contracts.
  • •Work cross-functionally with Sourcing, Operations, Quality, Logistics, Project Management, and Legal to align supplier terms with project needs and obtain approvals for non-standard terms.
  • •Develop and maintain contract templates, fallback positions, clause libraries, playbooks, and guidance notes for supply chain agreements, and provide training to sourcing teams.

Key Requirements

  • •J.D. from an accredited law school.
  • •6+ years of relevant legal experience, including a combination of law firm and in-house experience.
  • •Strong experience drafting, reviewing, and negotiating commercial contracts.
  • •Experience supporting supply chain, procurement, manufacturing, logistics, hardware, technology, energy, infrastructure, or other operationally complex commercial agreements.
  • •Ability to identify and communicate legal, commercial, and operational risks to business stakeholders with practical, solution-oriented advice.
