Key Responsibilities

  • •Provide embedded product counsel to Product Managers and Engineering, advising on new products, features, pricing/packaging changes, Early Access/beta programs, and end-of-life decisions.
  • •Advise on open source licensing matters, including license analysis/compatibility, OSS usage (inbound/outbound), contribution/CLA policies, and compliance obligations.
  • •Draft and maintain product-facing legal terms (service-specific terms, subscription/licensing agreements, Early Access/beta terms, fair use/acceptable use policies) and documentation for monetization models.
  • •Structure and negotiate commercial provisions in customer and partner agreements (product licensing, cloud services, hybrid on-premise/SaaS deployments, IP ownership, indemnities, warranties, and support commitments).
  • •Counsel on AI-enabled product features (training data provenance, output ownership, third-party model licensing, AI regulatory requirements) and collaborate with GRC on regulatory obligations and security expectations.

Key Requirements

  • •J.D. from an accredited law school and active membership in good standing in at least one U.S. state bar.
  • •6+ years of relevant in-house legal experience at a software, cloud, or developer tools company (law firm + in-house ideal).
  • •Deep familiarity with open source software licensing, including copyleft/permissive regimes, license compatibility analysis, and OSS governance.
  • •Experience drafting and negotiating SaaS, software licensing, and cloud services agreements, including enterprise IP, indemnity, and liability provisions.
  • •Technical fluency with developer software concepts (virtual containers, registries, CI/CD, APIs, software supply chain security) and AI/LLM legal issues (model licensing, training data, AI regulatory frameworks).
