Key Responsibilities

  • •Draft, review, and negotiate structured finance and general finance documentation, including lender financing, portfolio acquisition/disposal, credit risk transfer, margin loans, and related term sheets.
  • •Advise on legal, structuring, due diligence, and execution issues for structured finance and risk transfer transactions, coordinating with business and operational/back-office teams.
  • •Coordinate legal due diligence for portfolio acquisitions/disposals and risk transfer transactions, including managing external counsel and assessing diligence findings.
  • •Monitor and advise on regulatory matters and market developments relevant to structured finance, synthetic securitisation, and credit risk mitigation transactions.
  • •Provide bankwide and group legal support as needed, including drafting/reviewing standard documentation and participating in committees/projects.

Key Requirements

  • •Qualified lawyer with approximately 4 to 8 years’ post-qualification experience in structured finance, general banking, and credit risk transfer transactions.
  • •Experience from a reputable law firm and/or financial institution, with familiarity in market standard loan documentation and structured finance products.
  • •Strong drafting competence for structured finance and general finance documentation, including lender financing and credit risk transfer transaction documents.
  • •Ability to manage legal due diligence for portfolio acquisitions, disposals, and risk transfer transactions, including coordinating external counsel.
  • •Expected to attend CPD training courses to stay updated on structured finance documentation developments and emerging legal issues.
