Job Summary

Serve as in-house counsel on a hybrid team, supporting strategic M&A and corporate transactions end-to-end. Lead work on NDAs, due diligence, deal structuring and negotiation, regulatory clearance, deal closing, and post-closing transition services. Advise on joint ventures and strategic partnerships, draft and negotiate commercial contracts, and support public company obligations including SEC reporting and NYSE listing requirements.

Key Responsibilities

•Support strategic transactions and ensure ongoing compliance with regulatory requirements with senior legal leadership and cross-functional teams.
•Lead and support M&A transactions, including NDA drafting/negotiation, due diligence, structuring/negotiation/drafting of transaction documents, regulatory clearance, deal closing, and post-closing transition services.
•Advise on corporate transactions such as joint ventures, strategic partnerships, and other business development initiatives.
•Draft, review, and negotiate commercial contracts and corporate documents.
•Provide public company support, including SEC reporting/disclosure obligations (e.g., 10-K, 10-Q, 8-K, proxy statements, Section 16 filings) and NYSE listing requirements, plus subsidiary corporate secretarial matters.

Pay and Benefits

Salary: USD 134,300 - 231,700 annually

Key Requirements

•Juris Doctor (JD) from an accredited law school and active membership in good standing with at least one U.S. state bar.
•5+ years of relevant legal experience with significant exposure to M&A (public and private) and corporate transactions.
•Exceptional drafting, negotiation, and analytical skills.
•Ability to manage multiple projects and priorities in a fast-paced environment.
•Excellent interpersonal and communication skills working effectively with business and legal colleagues at all levels.
