Job Summary

Serve as a key legal advisor and deal architect for Dialpad’s most complex commercial transactions. Lead end-to-end negotiation of enterprise SaaS, partnership, reseller, services, and vendor agreements while balancing legal risk with business goals. Partner closely with Sales, Finance, Privacy, Security, and Customer Success, and build scalable commercial legal playbooks and AI-powered contracting workflows. Mentor junior counsel and support sales with training and process improvements.

Key Responsibilities

•Lead end-to-end negotiation of Dialpad’s most significant and complex commercial agreements with minimal supervision.
•Draft and redline sophisticated contract language across core commercial terms, including liability limits, indemnification, IP ownership, data processing, SLAs, and audit rights.
•Advise senior business stakeholders across Sales, Finance, Privacy, Security, and Customer Success on deal structure and legal risk from early engagement through escalations and disputes.
•Develop and refine the commercial legal playbook, including fallback positions and escalation protocols, and build AI-powered contracting workflows (first-pass review, clause extraction, risk scoring, legal research).
•Mentor junior commercial counsel, design training/continuing education for business partners, and drive process improvements to shorten contract cycle times.

Key Requirements

•8-15 years of experience as a commercial attorney, with substantial in-house experience at a technology or SaaS company (law firm experience is a plus).
•Independently lead complex, high-value commercial negotiations for enterprise customers, strategic partners, and vendors.
•Deep expertise in SaaS and technology contract frameworks, including software licensing, professional services, data processing agreements, and cloud/platform agreements.
•Strong understanding of data privacy and security obligations relevant to commercial contracting, including GDPR, CCPA/CPRA, HIPAA, and cross-border data transfer requirements.
•Interest in and experience with AI-powered legal tools, including responsible adoption, governance, and workflow design (plus strong mentorship skills).
