Key Responsibilities

  • •Support the corporate governance framework and Board of Directors activities, including preparing board/committee materials and maintaining corporate records.
  • •Assist with IPO readiness and collaborate with internal teams and external counsel to ensure compliance with securities laws and SEC regulations.
  • •After a potential IPO, support preparation and review of periodic SEC filings, SEC and exchange rule compliance, and quarterly earnings materials.
  • •Provide legal support for corporate transactions and financing events, including due diligence support and drafting/coordination of transaction documents.
  • •Help manage subsidiaries and affiliated entities and monitor corporate and securities law developments; advise on policy development and cross-functional legal needs.

Key Requirements

  • •4+ years of relevant experience at a law firm or in-house counsel.
  • •JD degree required.
  • •US Bar admission in at least one state.
