Key Responsibilities

  • •Provide legal review and guidance on proposals, procurement, contracting strategies, and day-to-day program execution for applicable divisions in partnership with Global Defense.
  • •Own review, redlining, and negotiation of international terms and conditions, including master agreements, purchase order T&Cs, and license, hardware, and services agreements.
  • •Manage legal work across the acquisitions lifecycle: oversee proposals and monitor contracts, lead or assist negotiations, resolve performance issues, and ensure compliance with laws and policies.
  • •Advise on international business matters including offsets/industrial cooperation obligations, intellectual property, data rights, and compliance related to ITAR, EAR, and sanctions.
  • •Develop contracting approaches for foreign government customers and negotiate structures covering governing law, arbitration (ICC, SIAC, HKIAC), sovereign immunity waivers, payment security, and Incoterms.

Salary: USD 220,000 - 292,000 annually

Key Requirements

  • •3+ years working on international commercial contracting and/or international government/defense contracts, defense trade, or U.S. government contracts matters.
  • •Ability to structure and negotiate cross-border agreements including governing law, dispute resolution/arbitration, payment security, and Incoterms, with familiarity with DCS and FMS/hybrid structures.
  • •Judgment and initiative to make risk-adjusted decisions and own multiple projects end-to-end across deal lifecycles.
  • •Strong communication and interpersonal skills, with the ability to quickly learn and contribute to broader start-up legal needs.
  • •Licensed to practice law in California or eligible to register as in-house counsel in California; must be a U.S. citizen and able to obtain and maintain a U.S. security clearance.
