Job Summary

Support Turner & Townsend in the US on corporate governance, regulatory compliance, and corporate contracts. Draft and advise on resolutions, board meetings, corporate records, and corporate law developments, including FOIA-related matters. Handle government/public sector agreements, negotiate contracts, maintain templates and legal guardrails, and assist with dispute resolution, subpoenas, depositions, and litigation alongside external counsel. Report to the Global Head of Legal.

Key Responsibilities

•Support corporate governance needs, including corporate forms, filings, and business and professional licensing and registrations to meet federal, state, and local requirements.
•Draft corporate resolutions, organize board meetings, maintain corporate records, and advise directors on governance obligations.
•Monitor and advise on corporate law and regulatory changes to ensure regulatory compliance.
•Draft, review, and negotiate agreements (including government and public sector contracts, leases, joint ventures, SaaS agreements) and support RFPs/RFQs and pre-qualifications.
•Handle disputes and litigation support, including debt recovery, subpoena responses, depositions, and representation at court hearings alongside external counsel when needed.

Key Requirements

•Current Bar admission in good standing.
•5-7 years of US corporate law experience with government/public sector contracts, including public sector procurement, FOIA requests, and FedRAMP compliance.
•Strong foundational knowledge of corporate law, including intellectual property rights, commercial law, legal research methodologies, and relevant legislative requirements.
•Experience with litigation and dispute resolution, including handling claims and disputes.
•Proficiency in legal research and staying abreast of legislative changes.
