Key Responsibilities

  • •Serve as an independent director, maintaining independence in fact and appearance free from interfering relationships
  • •Chair either the Audit Committee or the Governance, Risk and Compliance Committee, as determined by the Board
  • •If Audit Committee chair: oversee integrity/accuracy of financial statements and regulatory disclosures, internal controls, internal audit function, and external auditors
  • •If Governance, Risk and Compliance Committee chair: provide board-level oversight of corporate governance framework, enterprise risk management, regulatory compliance, and compliance/ethical standards

Key Requirements
