Key Responsibilities

  • •Review and negotiate prime contracts, subcontracts, strategic partnership agreements, supplier agreements, and related teaming agreements, including FAR-based contracts and OTAs.
  • •Interpret and explain solicitation and contract requirements that apply to government contractors, including cybersecurity and export control compliance.
  • •Review and negotiate vendor and supplier agreements for third-party sourced software, hardware, and services.
  • •Support Defense verticals’ international growth by analyzing foreign government bid and contract requirements.
  • •Lead compliance activities, reporting requirements, internal investigations, and assist with drafting policies and preparing employee government contracts and compliance training.

Key Requirements

  • •5+ years of experience supporting government procurement contracting activities, including FAR-based contracts and vehicles such as OTAs, subcontracts, and software licenses.
  • •In-depth knowledge advising clients on government procurement laws and processes, particularly FAR and DFARS with data rights and IP protections.
  • •Experience supporting proposal development, including structuring scope and pricing and meeting proposal compliance requirements.
  • •Ability to guide compliance with regulations including export control compliance (EAR, ITAR) and handling Controlled Unclassified Information (CUI), either through experience or with outside counsel.
  • •J.D. from an accredited law school and active membership in one state bar; must be willing to travel.
