Key Responsibilities

  • •Independently perform in-depth legal review and draft commercial agreements, including customer contracts, partnership/vendor agreements, BAAs, and NDAs.
  • •Analyze incoming contracts by identifying key risks and legal deviations, preparing comprehensive redlines and practical fallback options.
  • •Use enterprise CLM systems to manage intake, refine processes, track contract stages, maintain repository accuracy, and optimize legal workflow.
  • •Partner with Sales, Customer Success, Product, and Business Development to translate business needs into contract terms and answer contract-related questions within internal risk boundaries.
  • •Lead legal process improvement initiatives to streamline department operations and contracting speed, and assist with entity and corporate/tax administration tasks if qualified and interested.

Key Requirements

  • •8+ years of dedicated commercial contracting experience, with deep expertise in contract analysis, drafting, and detailed redlining (non-attorney role).
  • •Hands-on proficiency with enterprise Contract Lifecycle Management (CLM) systems and contract repositories to drive efficient review processes.
  • •Exceptional written communication skills to draft clear, precise, and unambiguous contractual language.
  • •Strong attention to detail to identify subtle risk allocation issues, operational traps, or inconsistencies in third-party contracts.
  • •Ability to balance legal risk with commercial reality and analyze/prioritize a high volume of contract reviews to meet tight deadlines.
