Provide expert legal advice and business counsel for mergers, acquisitions, divestitures, and other strategic transactions. Serve as the firm’s primary legal advisor on complex deals, leading negotiations and diligence while coordinating legal and compliance input. Key Responsibilities

•Provide legal advice and business counsel to the company on mergers, acquisitions, divestitures, and other strategic transactions.
•Lead potential transactions from a legal perspective and coordinate advice and diligence within the legal and compliance team.
•Engage and manage outside counsel as needed, including setting deliverable expectations and reviewing their work.
•Advise on SEC filings, including Form 10-K and Proxy Statements, and support management with new disclosure requirements.
•Advise board of directors and help develop corporate governance policies and legal controls to strengthen corporate governance practices.

Pay and Benefits

Salary: USD 174,000 - 297,000 annually

Key Requirements

•Law degree from an accredited School of Law, AND admission to the MD State Bar or other State Bar.
•10+ years of total relevant work experience.

•Complex M&A legal experience, including leading transactions as primary counsel.
•Knowledge of US public company reporting requirements.
