Job Summary

Join the Equipment Finance Legal Team to provide legal support for commercial equipment leases, loans, and software financing products. You’ll structure, draft, review, and negotiate vendor program and servicing agreements, review third-party lending/leasing documentation, and lead transactional support for complex, large-ticket deals. Partner with sales, credit, and senior management to evaluate and develop financing products while advising on UCC matters, collateralization, and legal/regulatory risk.

Key Responsibilities

•Structure, draft, review, and negotiate vendor program agreements and servicing agreements for EF’s indirect financing sources while ensuring third-party risk management compliance.
•Review third-party lending and leasing documentation for purchase through EF’s indirect financing and syndications channels.
•Lead structuring, risk assessment, documentation, and transactional support for EF lending and leasing products, with a focus on complex, large-ticket transactions.
•Develop and maintain transactional lending and leasing contract document templates for large-ticket transactions.
•Provide counsel on perfection, collateralization, and other UCC-related legal issues; prepare advice memoranda and training materials for EF personnel.

Pay and Benefits

Salary: USD 126,820 - 149,200 annually

Key Requirements

•Licensed by and in good standing with the appropriate state bar association (or other appropriate state attorney licensing authority).
•At least six years’ experience supporting complex commercial equipment lease and loan transactions and indirect lending agreements and transactions.
•Strong analytical skills with high attention to detail and accuracy.
•Provide legal support with considerable discretion across sales, credit, and negotiations documentation needs.
•Maintain awareness and comply with applicable laws, internal policies, and U.S. Bancorp’s Code of Ethics.
