Key Responsibilities

  • •Serve as corporate secretary for one or more entities, organizing board meetings and advising on board authority and corporate governance.
  • •Advise on shareholder issues and manage the interface between the entity, the parent, and other affiliates.
  • •Draft, review, and negotiate EPC and construction contracts, O&M agreements, BOO/BOOT contracts, service agreements, and related commercial agreements.
  • •Advise on internal policies, review and resolve claims, and provide training to company personnel on legal and compliance matters.
  • •Coordinate corporate and commercial legal services with specialist legal teams (e.g., tax, IP, M&A, dispute resolution) and external counsel as needed.

Key Requirements

  • •Bachelor of Law degree as a minimum; Master or Juris degree preferred.
  • •Current admission to general practice before the highest court of the state or country of which you are a citizen or resident.
  • •Minimum 7 years hands-on experience in a large multinational corporation or law firm.
  • •Relevant commercial contracts experience.
  • •Experience serving as corporate secretary to a sophisticated board of directors.
