Key Responsibilities

•Lead compensation and equity-related workstreams for M&A transactions, partnering with employment legal and HR to negotiate deal documents, manage due diligence, and administer post-closing holdback arrangements.
•Advise on compensation-related disclosures and corporate governance matters, including proxy statement filings and annual meeting of stockholders.
•Drive legal workstreams relating to equity plans, including plan maintenance, international expansion, and preparation of performance award agreements.
•Lead preparation and filing of registration statements on Form S-8 and support related filing workstreams.
•Advise on insider trading compliance, including Rule 10b5-1 trading plan review and administration, and serve as primary legal point of contact for stock administration.

Pay and Benefits

Salary: USD 160,000 - 230,000 annually

•Collaborative, proactive approach with strong interpersonal skills to establish relationships and drive alignment across stakeholders with competing priorities.
