Key Responsibilities

  • •Manage, develop, train, and mentor Senior Associates, Staff, and Interns on M&A projects and assess performance.
  • •Lead engagement communication to manage expectations, ensure satisfaction, and keep deadlines on track.
  • •Conduct buy-side and sell-side tax due diligence and advise clients on tax-efficient acquisitions, divestments, and restructurings.
  • •Research tax issues and prepare succinct, deal-driven written communication, including support for responses to tax authorities.
  • •Perform tax analysis for client tax attributes, including asset/stock tax basis and M&A transaction costs, and analyze IRC Section 382 limitations.

Key Requirements

  • •Bachelor’s degree in Accounting; Master’s in Taxation/LLM in Taxation strongly preferred.
  • •6–10 years of progressive federal tax consulting and/or compliance experience in public accounting or a combination of corporate and public accounting.
  • •3–5 years of qualified Mergers and Acquisitions tax services/due diligence experience.
  • •CPA or JD/active law license required.
  • •Experience with Corporate, S-Corp., and/or Partnership returns and proficiency in US GAAP and tax compliance.
