Job Summary

Own day-to-day contract support for sophisticated investment funds and asset managers, negotiating high volumes of pre-M&A agreements and serving as the primary client contact. Maintain and update client playbooks, collaborate with and mentor junior lawyers and paralegals, and help improve Carta’s legal technology suite using AI-backed tools such as Ava and HighQ. Work with the Contracts—Americas team to deliver fast, high-quality outcomes.

Key Responsibilities

•Negotiate and manage high volumes of pre-M&A contracts, including NDAs, confidentiality agreements, NRLs, joinders, and engagement letters, while liaising with counterparties and meeting turnaround times.
•Serve as the primary day-to-day contact for clients and build trusted advisor relationships with investment funds and asset managers.
•Maintain and update client playbooks to ensure consistency and quality across contract negotiations.
•Collaborate with and mentor junior lawyers and paralegals by reviewing their work and supporting a high-performing team culture.
•Contribute to continuous improvement of Carta’s legal technology suite by identifying ways to innovate using AI-backed tools.

Pay and Benefits

Salary: USD 140,800 - 209,000 annually

Key Requirements

•6–8+ years of post–law school corporate or transactional experience with a track record of independently negotiating pre-M&A contracts (e.g., NDAs, NRLs, joinders, engagement letters).
•Be licensed to practice law in the Americas (US/Canada).
•Have experience working with asset managers, investment banks, or other financial services firms.
•Communicate legal advice crisply and concisely while building strong relationships with sophisticated clients.
•Be comfortable evolving a legal technology suite (e.g., AI tools, HighQ) and interested in legal tech or AI.
