Key Responsibilities

  • •Be a key member of the Legal team and support international contract growth by executing new deals and growing existing ones in Asia-Pacific and the Americas.
  • •Own review, redlining, and negotiation of international terms and conditions for master agreements, purchase order terms, and license, hardware, and services agreements.
  • •Provide legal counsel across the acquisitions lifecycle: oversee and evaluate major proposals, monitor large contracts, lead/assist negotiations, resolve performance issues, and ensure compliance.
  • •Handle international legal matters including IP, data rights, offset and industrial cooperation obligations, and negotiation of international commercial terms (e.g., governing law, arbitration, sovereign immunity waivers, payment security, Incoterms).
  • •Collaborate with International Trade Compliance and other counsel to align deal structures with ITAR, EAR, and sanctions requirements and manage relationships with external counsel, vendors, engineers, executives, customers, and regulators.

Key Requirements

  • •3+ years working on international commercial contracting and/or international government/defense contracts, defense trade, or U.S. government contracts matters.
  • •Ability to structure and negotiate cross-border commercial agreements (governing law, dispute resolution/arbitration, payment security, and Incoterms) and familiarity with DCS and FMS/hybrid structures and data rights.
  • •Judgment and initiative to make risk-adjusted decisions and own multiple projects end-to-end across business development and legal matters.
  • •Strong communication and interpersonal skills.
  • •Licensed to practice law in California OR eligible to register as in-house counsel under California Rules of Court, Rule 9.46, and able to obtain/maintain a U.S. security clearance.
