Key Responsibilities

  • •Lead legal support for capital markets activities, including equity offerings, debt issuances, and capital management initiatives.
  • •Advise management and the Board on SEC, NYSE, and other securities law requirements, including periodic reporting, insider trading compliance, Regulation FD, and Rule 10b5-1 plans.
  • •Manage disclosure controls and procedures, proxy statements, Form 4 filings, and investor communications.
  • •Drive legal execution of acquisitions, divestitures, joint ventures, and strategic investments, including due diligence, transaction structuring, and negotiation.
  • •Oversee significant commercial agreements and corporate governance matters, including disclosure/contracting processes and support for board and committee meetings as Assistant Corporate Secretary.

Key Requirements

  • •10+ years of relevant legal experience at a nationally recognized law firm and/or public company legal department.
  • •J.D. from an accredited law school and admission to practice in at least one U.S. jurisdiction in good standing.
  • •Deep expertise in securities law, public company reporting, SOX compliance, and corporate governance.
  • •Proven M&A and strategic transaction experience, including cross-functional project management and coordination of outside counsel.
  • •Experience advising senior executives, boards, and audit committees with strong contract negotiation and drafting skills.
