Key Responsibilities

  • •Support the Procurement and Technology legal team’s efforts to accelerate responsible AI adoption consistent with legal/regulatory requirements and client/supervisory expectations.
  • •Advise business units and technology and product teams on development, negotiation, and support of vended AI tools and client-facing technology contracts (e.g., SaaS, software licenses, data licenses, distributed ledger technology, federated single sign on).
  • •Develop and update template contracts, playbooks, terms of use, and other technology-related terms and conditions for enterprise use (e.g., web portals/platforms, APIs, other software).
  • •Collaborate with cross-functional teams and SMEs (including data privacy, information security, risk, compliance, tax) and advise committees/working groups for technology initiatives (e.g., IT Risk, Cloud governance, AI).
  • •Advise and lead negotiations for strategic transactions, including complex license agreements, reseller agreements, and other corporate development arrangements.

Key Requirements

  • •J.D. from an accredited law school and ability to meet attorney licensing requirements in the jurisdiction where the role is located.
  • •Minimum 10 years combined experience at a nationally recognized law firm and/or in-house legal department advising on relevant technology and procurement matters.
  • •Proven ability to independently draft, negotiate, and review technology contracts, including software licenses, distributed ledger technologies, managed services, and on-prem and SaaS arrangements.
  • •In-depth experience with legal and regulatory aspects affecting contract requirements, including familiarity with data in the cloud (financial industry regulations preferred).
  • •Strong legal analysis, practical, solutions-oriented advice, and excellent oral and written communication skills.
