Job Summary

Provide deal counsel for Applied Materials’ Corporate Business Development (CBD) Legal group, supporting M&A, divestitures, joint ventures, and strategic investments. Lead review and regulatory assessment coordination for antitrust, CFIUS, and foreign FDI, draft and negotiate NDAs and transaction documents, and coordinate due diligence and legal/IP report-outs. Advise on term sheets, definitive agreements, and pre-/post-closing activities, including divestiture legal aspects and process improvements.

Key Responsibilities

•Act as deal counsel supporting M&A, divestitures, joint ventures, and other strategic investments for the CBD group.
•Review M&A pipeline decks and coordinate regulatory assessments (antitrust, CFIUS, foreign FDI), including input coordination with business unit leaders and technologists.
•Prepare, negotiate, and advise on deal materials including NDAs and term sheets; work with internal tax/finance and external counsel on structuring.
•Coordinate due diligence investigations and produce legal and IP due diligence report-outs for the business and deal team.
•Support deal execution by coordinating outside counsel on definitive documentation, resolving pre-/closing activities, and advising on divestiture legal aspects and separability.

Travel: Medium travel

Pay and Benefits

Salary: USD 189,000 - 260,000

Key Requirements

•JD from a nationally-recognized law school.
•At least 6 years of total experience focused on mergers and acquisitions in a large, international law firm.
•At least 2 years of M&A experience with a strong cross-border component for technology companies.
•Strong understanding of the full M&A process, including interest in legal integration efforts.
•Experience with capital markets/corporate securities/regulatory reporting and regulatory assessments and filings (domestic/foreign antitrust, CFIUS, foreign FDI, Outbound Investment Rule).
