Key Responsibilities

  • •Lead strategic client engagements for equity incentive design, implementation, and governance across private and listed companies.
  • •Advise on EMI, CSOP, growth shares, MIPs, RSUs, LTIPs, option plans, and hybrid structures, covering tax, legal, and accounting implications.
  • •Deliver commercially grounded advice aligned with corporate transactions and ongoing employee/shareholder alignment.
  • •Collaborate with tax, legal, corporate finance, and valuation teams to deliver integrated, high-quality solutions.
  • •Drive scalable delivery using AI-enabled tools and lead business development across key accounts and industry sectors, including mentoring and succession planning.

Key Requirements

  • •Professional qualification (e.g., CTA, ACA, solicitor) is preferred.
  • •8+ years advising on UK equity incentives, ideally across both private and listed companies in a Deals environment.
  • •Deep understanding of equity design, implementation, tax treatment, and exit scenarios, including private equity-backed structures.
  • •Proven leadership of complex, multi-disciplinary advisory projects with CFO, RemCo, or investor engagement.
  • •Experience using AI and automation in modelling, reporting, or documentation is advantageous.
