Key Responsibilities

•Negotiate and draft complex commercial agreements, including SaaS, cloud computing, software licensing, outsourcing, fin-tech, and professional services agreements.
•Negotiate and draft contract types such as master service agreements, SOWs, RFPs, licensing agreements, and marketing agreements.
•Advise stakeholders on legal and regulatory risks throughout the contract lifecycle, including privacy, information security, BSA/AML, AI, third-party risk management, and consumer protection obligations.
•Improve contractual risk management by developing playbooks, templates, policies, and contracting standards to enhance third-party risk management practices and vendor governance.
•Provide expert practical legal advice and lead discussions on complex legal topics; conduct sophisticated legal research and manage outside counsel as needed.

Key Requirements

•Minimum 12 years as a practicing attorney with relevant financial services experience, including at least 5 years as in-house counsel at a financial institution.
•Licensed attorney admitted to practice in Virginia, North Carolina, Maryland, District of Columbia, or New York (or able to satisfy reciprocity/corporate counsel requirements for admission).
•Completion of accredited Law School degree (J.D.) and four years of undergraduate college study.
•Demonstrated high-level knowledge in legal expertise and the ability to make sound legal judgments independently.
•Excellent analytical, writing, and communication skills, with strong interpersonal skills and high ethical standards.
