Key Responsibilities

  • •Advise transactional teams on legal, regulatory, and execution risks for fixed income and structured solutions transactions.
  • •Draft, review, and negotiate transaction documentation, including offering documentation and placement/distribution arrangements.
  • •Support establishment, update, and utilisation of issuance programmes and related disclosure/due diligence processes.
  • •Advise on applicable UK, EU, and German legal and regulatory requirements, including MiFID II and market abuse/conduct and investor protection matters.
  • •Provide legal support to compliance, risk, and other control functions, including regulatory change and broader fixed income trading/financing/structuring activities.

Key Requirements

  • •Qualified lawyer with at least 4 years’ PQE, gained in private practice or in-house.
  • •Dual qualification in Germany and England & Wales is strongly preferred (Germany/England & Wales or another Commonwealth jurisdiction considered).
  • •Strong experience in the German Namenspapier market and related German debt capital markets products.
  • •Strong understanding of German capital markets documentation and market practice.
  • •Knowledge of applicable UK, EU and German legal and regulatory frameworks, plus excellent drafting, negotiation, and stakeholder management skills.
