Key Responsibilities

  • •Advise and support capital markets efforts, including building a network of capital sources and strategies and supporting international expansion.
  • •Advise and support bank partnerships efforts by helping build a network of originating and card-issuing partner banks.
  • •Independently lead financing transactions and bank partner initiatives from legal strategy through execution and maintenance beyond closing.
  • •Draft, review, and negotiate US and international capital markets deal documents, including credit/security agreements, loan sale agreements, indentures, and related resolutions and side letters.
  • •Provide expert guidance on lending and securities laws and regulations, communicating legal advice clearly and coordinating as the capital markets/bank partnerships legal point of contact.

Key Requirements

  • •7+ years of relevant law-firm experience, with a preference for some in-house experience, particularly from a high-growth fintech startup.
  • •JD from a well-regarded law school and membership (in good standing) in a US state bar.
  • •Experience in structured and/or debt finance, including term/revolving and asset-based lending, warehouse/asset-backed financing, loan sales, securitizations, and other funding forms.
  • •Ability to draft, review, and negotiate capital markets transaction documents and coordinate effectively with internal/external customers.
  • •Strong organizational, interpersonal, and business judgment skills with meticulous attention to detail.
