Job Summary

Draft, negotiate, and advise on complex commercial agreements for a global enterprise software business, including software/SaaS licenses, NDAs, DPAs, and vendor contracts. Partner with product, business, and privacy teams to manage the full contracting cycle from draft through execution, resolve deal issues, and drive timely outcomes. Help build and operationalize contracting processes to scale the legal function while supporting internal stakeholders across deal structuring and risk counseling.

Key Responsibilities

•Draft, negotiate, and advise on commercial agreements including software/SaaS licenses, NDAs, evaluation agreements, ecosystem partnership agreements, DPAs, and vendor contracts.
•Provide product, business, and legal counseling on legal risks, business strategies, and issues related to product features and commercial transactions.
•Manage and resolve complicated commercial deal issues while driving alignment across cross-functional teams.
•Own the full contracting cycle from initial draft to execution, collaborating with business, privacy, and product teams to reach successful completion.
•Build, streamline, and operationalize the company’s contracting process to scale the legal team and support internal stakeholders in research, deal structuring, and risk counseling.

Pay and Benefits

Salary: USD 150,000 - 185,000 annually

•6+ years of experience with transactional expertise and willingness to expand into additional operational areas as needed.
•J.D. with strong academic credentials and membership in at least one U.S. state bar.

•Highly organized, reliable, detail-oriented, and able to prioritize across multiple simultaneous issues.
•Ability to provide pragmatic, business-oriented legal advice and deliver results efficiently with a customer-service mindset.
