Key Responsibilities

•Provide support for all aspects of global M&A, strategic investments, joint ventures, divestitures, and other corporate transactions.
•Draft, negotiate, and finalize a wide range of transactional agreements, ranging from engagement letters, approval documents, NDAs and term sheets to joint venture agreements and, equity and asset purchase agreements.
•Drive and manage due diligence, including issue spotting, risk evaluation, coordination of internal stakeholders, and supervision of outside counsel.
•Lead cross-functional workstreams, collaborating with Finance, Strategy, Tax, HR, Operations, and other internal partners throughout the transaction lifecycle.
•Manage and provide general corporate advice relating to governance matters and other issues relating to past and current transactions.

Pay and Benefits

Salary: USD 165,000 - 180,000 annually

Key Requirements

•JD from a reputable law school; admitted to the New York Bar and in good standing; minimum of 3 years of relevant experience at a major law firm with significant responsibility in supporting complex M&A transactions.
•Exceptional negotiating and drafting skills with keen attention to detail
•Exceptional communication and analytical capabilities, capacity to articulate complex legal concepts clearly in both written and oral formats
•Highly collaborative with a service-oriented mindset to help progress transactions to a successful closing
•Demonstrated ability to manage competing priorities in a fast-paced environment while maintaining a high standard of accuracy and judgment
