  • •Draft, review, and negotiate customer, procurement, and strategic commercial transactions for SaaS, software, hybrid cloud, AI-related offerings, and strategic partnership agreements.
  • •Provide trusted, creative, and strategic legal and business counsel to internal stakeholders on commercial, operational, and strategic issues.
  • •Suggest and implement improvements to contracting processes, including new standard forms and playbook variations to increase efficiency.
  • •Use AI-enabled legal technology tools effectively and adapt to new tools as needed.
  • •Support pricing initiatives, participate in internal approval workflows, and prioritize contracts while responding to stakeholder and client questions.

Key Requirements

  • •Juris Doctor (J.D.) from an accredited law school and active bar admission in good standing.
  • •8+ years of relevant in-house and/or law firm experience supporting technology transactions, including SaaS, software licensing, cloud services, data processing, and enterprise commercial agreements.
  • •Strong technical fluency across cloud services, software licensing models, information security, privacy, intellectual property, and regulatory considerations.
  • •Demonstrated skill drafting and negotiating complex software, SaaS, hybrid cloud agreements, master agreements, professional services agreements, and software development agreements.
  • •Ability to balance legal risk with commercial objectives and influence stakeholders with business-minded solutions.
