Key Responsibilities

  • •Advise on employment matters including offer letters, contractor agreements, equity grants, employee policies, and terminations; coordinate with outside employment specialists.
  • •Review and negotiate fundraising documents such as term sheets, SAFEs, and equity financing documents alongside company/investors’ counsel.
  • •Handle commercial lease review and negotiation and manage outside counsel when appropriate.
  • •Stay ahead of legal and regulatory developments affecting the business, including AI, govtech, data privacy, security, and permitting.
  • •Act as legal SME and provide product advisory for Brain Co.’s AI-assisted legal and regulatory tools.

Key Requirements

  • •J.D. and active bar membership (California admission or eligibility to waive preferred).
  • •5–8 years of legal experience, combining large law firm and in-house experience at a tech company.
  • •Experience negotiating complex commercial contracts, preferably in SaaS, AI, or enterprise software, including major deals with C-level executives.
  • •Strong verbal and written communication; able to translate complex legal issues into clear, actionable guidance for legal and non-legal stakeholders.
  • •Proactive, able to navigate ambiguity in a fast-paced startup while making pragmatic, company-protective judgments.
