Job Summary

We are seeking a highly experienced, hands-on global SaaS and software transactions attorney to join the legal team. As primary legal partner to strategic and enterprise account sales, you will manage large, complex software, SaaS, and related technology transactions for global enterprise customers, lead negotiations, influence commercial strategy, and collaborate with cybersecurity, regulatory, and compliance teams in a fast-paced cybersecurity environment.

Key Responsibilities

•Lead customer negotiations, drafting, and deal management on a global basis for large complex commercial software, support services, and professional services transactions with enterprise customers across different verticals
•Partner with sales team leadership to align business requirements, manage deal pipeline, and ensure delivery to agreed timelines
•Maintain a well-versed understanding of Delinea’s business strategy, products and operations to provide effective counsel and legal oversight that furthers strategic objectives while incorporating appropriate compliance and risk management
•Support other commercial transactions and M&A integration activities
•Collaborate with cross-functional teams to appropriately address financial and operational considerations; partner with cybersecurity, regulatory, privacy, and compliance teams to manage and advise on assigned transactions

Key Requirements

•JD from an accredited law school; admitted and in good standing with at least one state bar in the U.S.
•15+ years legal experience in business and transactional law in the technology industry, with 10+ years direct experience managing and negotiating large complex software, SaaS and related technology sales transactions with global enterprise customers; prior in-house experience required
•Extensive experience providing sound legal counsel and leading SaaS and software transaction negotiations to completion in an effective and efficient manner
•Expertise with software licensing, SaaS, terms of use, enterprise terms, evaluation and trials, professional services, strategic ventures, and distributor and partner/alliance agreements
•Solid working knowledge of global legal considerations applicable to B2B software licensing and SaaS, including international cross-border transactions, IP rights, data privacy and security
