Key Responsibilities

  • •Lead as primary internal counsel on private company fundraising and financing transactions, including term sheet development, drafting/negotiating definitive agreements, due diligence coordination, and closing.
  • •Partner with Corporate Development & Investor Relations on fundraising strategy, investor due diligence, data room management, and investor rights/governance across rounds and instruments.
  • •Lead end-to-end legal execution of domestic and cross-border M&A and strategic transactions, including structuring, documentation, regulatory/licensing considerations, closing mechanics, and post-close support.
  • •Advise on secondary sales and private-company liquidity programs, including transfer restrictions, ROFR/ROFO mechanics, and stakeholder approvals.
  • •Advise on corporate governance, intragroup structuring, internal reorganisations, and corporate actions; manage external counsel and build scalable transaction playbooks and templates using LegalTech/AI.

Key Requirements

  • •U.S. legal qualification (or foreign equivalent) and an active license to practice in at least one U.S. jurisdiction.
  • •10+ years of in-house and/or private practice experience advising on private company financing and M&A, running transactions end-to-end.
  • •Strong experience drafting and negotiating core transaction documents for equity financings, M&A, joint ventures, and secondary sales, including term sheets and definitive agreements.
  • •Strong working knowledge of U.S. corporate and securities law for private companies, especially fundraising, secondary transactions, and governance.
  • •Ability to advise senior executives, investors, and cross-functional stakeholders with clear, commercially grounded, risk-balanced guidance in fast-moving environments.
