Key Responsibilities

•Negotiate and manage high volumes of pre-M&A contracts (NDAs, confidentiality agreements, NRLs, joinders, and engagement letters) while meeting agreed turnaround times.
•Serve as the primary day-to-day contact for clients, building trusted-advisor relationships with investment funds and asset managers.
•Maintain and update client playbooks to ensure consistency and quality across contract negotiations.
•Collaborate with and mentor junior lawyers and paralegals, reviewing their work and supporting a high-performing team culture.
•Contribute to continuous improvement of Carta’s legal technology suite by identifying ways to innovate using AI-backed tools.

Pay and Benefits

Salary: CAD 126,000 - 157,600 annually

Key Requirements

•4+ years of post law school corporate or transactional experience with a track record of independently negotiating pre-M&A contracts (NDAs, NRLs, joinders, engagement letters).
•Licensed to practice law in the Americas (US/Canada).
•Experience working with asset managers, investment banks, or other financial services firms.
•Ability to communicate legal advice crisply and concisely while building relationships with sophisticated clients.
•Comfort working with and evolving a legal technology suite, including AI tools and HighQ.
