Key Responsibilities

  • •Negotiate and manage high volumes of pre-M&A contracts (NDAs, confidentiality agreements, NRLs, joinders, and engagement letters) while meeting agreed turnaround times.
  • •Serve as the primary day-to-day contact for clients, building trusted-advisor relationships with investment funds and asset managers.
  • •Maintain and update client playbooks to ensure consistency and quality across contract negotiations.
  • •Collaborate with and mentor junior lawyers and paralegals, reviewing their work and supporting a high-performing team culture.
  • •Contribute to continuous improvement of Carta’s legal technology suite by identifying ways to innovate using AI-backed tools.

Pay and Benefits

Salary: CAD 126,000 - 157,600 annually

Key Requirements

  • •4+ years of post law school corporate or transactional experience with a track record of independently negotiating pre-M&A contracts (NDAs, NRLs, joinders, engagement letters).
  • •Licensed to practice law in the Americas (US/Canada).
  • •Experience working with asset managers, investment banks, or other financial services firms.
  • •Ability to communicate legal advice crisply and concisely while building relationships with sophisticated clients.
  • •Comfort working with and evolving a legal technology suite, including AI tools and HighQ.
