Key Responsibilities

  • •Draft, review, and negotiate intercompany agreements, service agreements, cost-sharing arrangements, loan and guarantee agreements, novation agreements, and corporate support documentation.
  • •Support M&A transactions, corporate restructurings, and capital markets activities, including due diligence, document preparation, and coordination with external advisors.
  • •Assist with banking, financing, and treasury-related matters, including review and negotiation of credit facilities, derivatives documentation, and KYC/legal onboarding materials.
  • •Manage corporate governance and corporate secretarial responsibilities, including entity formations and dissolutions, maintaining corporate records, drafting board and shareholder resolutions, and ensuring compliance with local requirements.
  • •Create and advise on templates, policies, and procedures for new requirements, and support preparation, filing, and tracking of legal documentation for corporate actions and regulatory filings.

Key Requirements

  • •A qualified lawyer with a law degree.
  • •Minimum of 5 years of post-qualification experience, ideally from a major law firm and/or in-house in the Financial Services industry or M&A.
  • •Solid general legal background in commercial, contractual, and corporate law matters.
  • •Strong understanding of payments, financial services, or fintech (highly desirable).
  • •Fluent English with excellent written and verbal communication skills; Spanish is a plus.
