Key Responsibilities

  • •Lead acquisitions, strategic investments, joint ventures, and corporate transactions through the full lifecycle, including post-closing integration and structure.
  • •Act as primary legal partner to Finance and Operations on deal strategy and execution, providing clear recommendations to stakeholders.
  • •Support fundraising with diligence, financing documents, side letters, investor rights, and coordination with outside counsel under compressed timelines.
  • •Partner with Finance and People on equity programs (option and RSU grants, plan amendments, cap table hygiene, 409A, secondaries, tender offers).
  • •Advise on securities law, corporate governance, and subsidiary formation; design and maintain scalable templates, playbooks, diligence checklists, approval workflows, and signing/closing infrastructure.

Key Requirements

  • •J.D. and active membership in at least one U.S. State Bar.
  • •6+ years of post-qualification legal experience at a major law firm and/or high-growth technology company.
  • •Proven experience drafting and negotiating M&A and investment documents (purchase agreements, term sheets, disclosure schedules, ancillary documents).
  • •Substantive experience with venture or growth-stage financings and associated securities law questions.
  • •Working knowledge of equity compensation, including plan administration, grant mechanics, and liquidity events (secondaries, tender offers).
