Job Summary

Key Responsibilities

•Maintain the corporate records (hard copy and electronic) of CAE and its subsidiaries, including drafting resolutions and responding to information requests from various business units.
•Support formation of new corporate entities and implementation of corporate reorganizations (e.g., amalgamations, continuances, dissolutions).
•Prepare, review, and manage corporate filings (annual filings and declarations, extra-provincial filings, trade name registrations), powers of attorney, and notarization/apostille of documents as needed.
•Support tax, treasury, and human resources teams with corporate actions and transactions (acquisitions/dispositions, dividends, capital injections, stock-based compensation plans).
•Participate in management of filings with Canadian/US securities regulators, and with TSX/NYSE to ensure compliance with continuous disclosure requirements (quarterly reports, press releases, annual reports, insider reporting, material change reports, etc.).

Key Requirements

•A college diploma in paralegal studies (or in an appropriate discipline) or law degree.
•Minimum of 3 years of relevant experience in a corporate legal department or a law firm.
•Excellent command of French and English (oral and written) and strong writing skills.
•High level of proficiency with Microsoft Office (Outlook, Word, Excel, PowerPoint), entity management systems, corporate filings systems, and corporate search systems.
•Preferred: ability to efficiently manage priorities, discretion with sensitive information, and collaborative, autonomous work style.
