Key Responsibilities

  • •Maintain the corporate records (hard copy and electronic) of CAE and its subsidiaries, including drafting resolutions and responding to information requests from various business units.
  • •Support formation of new corporate entities and implementation of corporate reorganizations (e.g., amalgamations, continuances, dissolutions).
  • •Prepare, review, and manage corporate filings (annual filings and declarations, extra-provincial filings, trade name registrations), powers of attorney, and notarization/apostille of documents as needed.
  • •Support tax, treasury, and human resources teams with corporate actions and transactions (acquisitions/dispositions, dividends, capital injections, stock-based compensation plans).
  • •Participate in management of filings with Canadian/US securities regulators, and with TSX/NYSE to ensure compliance with continuous disclosure requirements (quarterly reports, press releases, annual reports, insider reporting, material change reports, etc.).

Key Requirements

  • •A college diploma in paralegal studies (or in an appropriate discipline) or law degree.
  • •Minimum of 3 years of relevant experience in a corporate legal department or a law firm.
  • •Excellent command of French and English (oral and written) and strong writing skills.
  • •High level of proficiency with Microsoft Office (Outlook, Word, Excel, PowerPoint), entity management systems, corporate filings systems, and corporate search systems.
  • •Preferred: ability to efficiently manage priorities, discretion with sensitive information, and collaborative, autonomous work style.
