Job Summary

Serve as Corporate Legal Counsel in Adyen’s Corporate Legal Advisory team, advising on public filings and disclosure documentation tied to Adyen’s Netherlands listing. Support corporate development and complex corporate projects, including insider trading and conflict-of-interest inquiries, Market Abuse Regulation compliance, and disclosure committee reviews. Partner with Investor Relations and Communications, advise on equity structures and incentive plans, and consult with regulators such as the AFM while staying current on Dutch and European corporate law.

Key Responsibilities

•Review and advise on public filings and other disclosure documentation.
•Provide legal support and internal training on corporate law matters, including mergers and acquisitions and corporate development.
•Manage insider trading and conflict of interest inquiries, procedures, and policies.
•Ensure compliance with the Market Abuse Regulation and support disclosure committee reviews and determinations.
•Advise on equity structures and incentive plans, partner with Investor Relations and Communications, and consult regulators such as the AFM.

Key Requirements

•4+ years of corporate legal experience as a corporate attorney or in-house corporate counsel at a publicly listed company in an international setting.
•Strong knowledge of the Market Abuse Regulation (MAR) and related Dutch and European regulations.
•Familiarity with equity compensation structures and incentive plans.
•Experience interfacing with the AFM, supervisory boards, and management boards.
•Excellent analytical, communication, and interpersonal skills, with the ability to structure and prioritize in a fast-paced environment.
